By creating an account, clicking "I Agree," or using doczap ("Service"), you ("Customer") accept these Terms of Service ("Agreement") with Dear Inc., 1-10-8 Dogenzaka, Shibuya-ku, Tokyo 150-0043, Japan ("Company").

Customer must provide accurate information, keep credentials secure, and is liable for activity under its API keys.
The Service converts JSON (or similar) into PDF (and optional XML/signature outputs) via REST API, provides dashboards, webhooks, and an optional Template creation workflow.
Preview Features are provided AS IS with no SLA; they may be changed, rate-limited, or withdrawn at any time.
A standard fee of USD 50 per Template is charged at order.
If the Company determines the Template is complex, it will issue an extra quote and ETA; Customer may accept or cancel with full refund of amounts paid for that Template.
All intellectual-property rights in Templates remain with the Company. The Company grants Customer a non-exclusive, non-transferable, revocable licence to generate documents only through the Service. Customer must not copy, modify, or redistribute Templates.
The Company targets a visual tolerance of ±0.2 pt but does not guarantee pixel-perfect rendering under all viewers, fonts, or print drivers.
Prices (plans, overages, Template fees) are shown in the dashboard and may change with 30 days' prior notice. All fees are exclusive of taxes; Customer is responsible for VAT/GST where applicable.
The Company may throttle or suspend API calls that exceed plan limits, interfere with system stability, or constitute abusive behaviour.
Reverse engineering, scraping, stress testing, infringing, defamatory, or illegal activity; uploading malicious code; reselling without written consent.
All Service software, content, and marks are the Company's property. Feedback may be used by the Company royalty-free, worldwide, irrevocably, and sublicensably.
Copyright owners may send notices to dmca@doczap.io. The Company will promptly disable Templates or content alleged to infringe and follow 17 U.S.C. §512 procedure.
Each party must protect the other's non-public information with reasonable care.
Processing of personal data is governed by the Doczap Privacy Policy (below), incorporated by reference.
Either party may terminate for convenience at any time via the dashboard (no refunds for the current billing period). The Company may suspend or terminate immediately for material breach or legal risk.
THE SERVICE, TEMPLATES, AND PREVIEW FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ERROR-FREE OPERATION.
Company's aggregate liability arising out of or related to the Service shall not exceed the fees paid by Customer to Company in the preceding one-month billing period. Company is not liable for lost profits, indirect, special, incidental, consequential, or punitive damages.
Customer will defend and indemnify Company against third-party claims arising from (i) Customer content, (ii) breach of these Terms, or (iii) violation of law.
Customer represents it is not located in, nor controlled by, a sanctioned country or on any denied-party list, and will not re-export the Service in violation of applicable laws.
This Agreement is governed by the laws of Japan, excluding conflict rules. All disputes shall be finally settled by arbitration under the Rules of the Singapore International Arbitration Centre (SIAC), seat Tokyo, language English, one arbitrator. The United Nations CISG does not apply.
Company may modify these Terms with 30 days' notice (email or dashboard). Continued use after the effective date constitutes acceptance.
No assignment without consent (except mergers); force majeure; severability; entire agreement; no waiver unless written.
